DrayApp and DrayTalk Terms of Use
Effective Date: October 20, 2026
These Terms of Use (the “Terms”) govern your use of the following mobile applications provided by DrayData, Inc. (“DrayData,” “we,” “our,” or “us”):
- DrayApp, used for dispatches, milestones, documents, navigation, and operational workflows, including its built-in DrayTalk chat and calling feature (“DrayTalk in DrayApp”); and
- DrayTalk, the standalone business messaging and voice-calling app (“Standalone DrayTalk”).
In these Terms, “DrayTalk” means the chat and calling feature, whether you use it inside DrayApp or in Standalone DrayTalk, and “App” means whichever of these applications you are using. Where a section applies to only one of them, we say so.
These are business applications for drivers, dispatchers, and other authorized personnel of organizations that use DrayData’s transportation management solutions.
Please read these Terms carefully. By tapping “Agree & Continue” in the App, or by otherwise using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, tap “Decline” and do not use the App.
1. Who May Use the App
The App is not a consumer product. Accounts are provisioned by your organization (for example, your employer or a company you work with) or by DrayData. You cannot create an account inside the App. To use the App you must:
- be at least 18 years old (or the age of majority where you live);
- be an authorized user of an organization that licenses DrayData’s services;
- sign in using the credentials issued to you, and keep them confidential; and
- not allow anyone else to use your account. You are responsible for activity that happens under your account.
2. Your Organization’s Role
Your organization administers your access to the App. As described in our Privacy Policy, your organization may manage your account, decide whom you may communicate with, receive your operational and location data (in DrayApp), and access communications and information associated with your use of the App, as permitted by its agreement with DrayData. If your organization’s agreement with DrayData conflicts with these Terms, that agreement controls as between your organization and DrayData.
3. Using DrayApp (Dispatch, Location, and Documents)
This section applies to DrayApp.
- DrayApp uses your device’s precise location, including in the background when the App is closed or not in use while you are logged in and working, to update dispatch milestones, calculate ETAs and routes, generate electronic manifests, and support customer tracking, safety, and compliance. Your location and operational data are shared with your organization. You can change location permission at any time in your device settings, but some or all of DrayApp may not work without it.
- Documents and signatures. Photos, documents, signatures, and notes you submit (for example proof of delivery) must be accurate and must be submitted only for legitimate dispatch purposes. You are responsible for what you submit.
- Drive safely. Do not use the App while driving in a way that distracts you or violates the law. Navigation, ETA, and routing information is provided for convenience and may be inaccurate or unavailable; follow road signs, traffic laws, and your employer’s instructions.
- If your organization connects third-party services (such as ELD providers or navigation tools), data from them may appear in the App and is subject to your organization’s agreements with those providers.
4. Community Guidelines: Zero Tolerance for Objectionable Content
This section applies to all DrayTalk use, whether in DrayApp or Standalone DrayTalk.
DrayTalk has zero tolerance for objectionable content and abusive behavior. DrayTalk is a workplace tool, and everyone using it is entitled to a safe and professional environment. You must not send, upload, share, or otherwise transmit any content, or engage in any conduct, that:
- harasses, bullies, threatens, intimidates, or abuses any person, or encourages violence or self-harm;
- is hateful or discriminatory, including content that attacks a person or group because of race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, age, or any other protected characteristic;
- is sexually explicit, pornographic, or otherwise sexually inappropriate;
- is graphic, violent, or shocking without a legitimate business purpose;
- is spam, a scam, phishing, or an attempt to deceive or defraud others;
- impersonates another person or misrepresents your identity or affiliation;
- contains malware or anything designed to disrupt, damage, or gain unauthorized access to any system or account;
- infringes anyone’s intellectual-property, privacy, or other rights, or discloses another person’s private information without permission; or
- violates any law or regulation, or your organization’s own policies.
5. Reporting, Blocking, and Enforcement
You have tools inside DrayTalk to protect yourself and others:
- Report a message. Press and hold any message from another user, choose “Report,” and select a reason. The message is hidden for you immediately, and a pre-filled email addressed to info@draydata.com opens so you can send us the details. Please send that email to complete your report.
- Block a user. Press and hold a message and choose “Block,” or open the conversation’s participant list and choose “Block.” A blocked user’s messages are hidden from you on your device. You can unblock a user at any time from the conversation info screen. Blocks, and messages you have hidden by reporting them, are stored only on your device: they do not carry over to another device, and they are cleared when you sign out.
- Contact us directly. You can also reach us at info@draydata.com at any time.
We review reports promptly. If we find that content or conduct violates these Terms, we may remove the content, warn the user, suspend or remove the user’s access, and notify the user’s organization. We may take these actions with or without prior notice, and we may report unlawful conduct to the appropriate authorities. Egregious or repeated violations may result in permanent removal of access.
6. Your Content
You keep whatever rights you already have in the messages, photos, files, documents, and other content you send or submit through the App (“Your Content”). You are solely responsible for Your Content and for making sure you have the right to share it. You grant DrayData and its service providers a limited, non-exclusive license to host, store, transmit, display, and process Your Content solely as needed to operate, secure, and support the App, and to enforce these Terms. Your organization may also have access to Your Content as described in Section 2.
7. Voice Calls
This section applies to DrayTalk.
- DrayTalk provides audio (voice) calls between authorized users. Video is not enabled.
- DrayTalk does not record call audio. We do process call metadata such as participants, start time, duration, and status.
- DrayTalk is not a replacement for a telephone and cannot be used to call emergency services (such as 911 or your local emergency number). Use your phone’s regular calling service in an emergency.
- Calls depend on your device, microphone permission, and network connection. We do not guarantee that any call or notification will be delivered, timely, or uninterrupted.
8. Privacy and Session Recording
Our Privacy Policy explains what information we collect and how we use it:
- DrayApp (including DrayTalk in DrayApp): https://draydata.com/drayapp/
- Standalone DrayTalk: https://draydata.com/draytalk-privacy-policy/
In particular, please be aware that, to find and fix problems and improve the App, we record app sessions, including what appears on your screen (except that the screen of an open chat is blurred), using UXCam, a third-party analytics service. Call audio is not recorded. Details are in the applicable Privacy Policy.
9. Acceptable Use of the App
You agree not to:
- copy, modify, reverse engineer, decompile, or attempt to extract the source code of the App, except where the law expressly permits it;
- access or attempt to access accounts, data, or systems you are not authorized to access;
- interfere with or disrupt the App, our servers, or our service providers’ networks;
- use bots, scripts, or other automated means to access or use the App; or
- use the App for any purpose other than legitimate business use within your organization’s authorized use.
10. Device Permissions and Notifications
The App asks for certain device permissions, such as location (DrayApp), camera, photo library, microphone, and notifications, only to provide specific features. You can grant or withdraw each permission in your device settings. Some features (for example, voice calls, photo capture, milestone updates, or incoming-call alerts) will not work without the relevant permission.
11. Third-Party Services
The App relies on third-party services, including Twilio (messaging and calling), UXCam (analytics and session recording), Google Firebase Cloud Messaging and Apple Push Notification service (push notifications), and, in DrayApp, Google Play services or Apple Core Location (location) and Trimble CoPilot / PC*MILER (routing, where enabled). Their use of your information is described in our Privacy Policy. You may also be subject to the terms of your device’s app store and operating system.
12. Apple and Google
These Terms are between you and DrayData only, and not Apple Inc. (“Apple”) or Google LLC (“Google”). Apple and Google are not responsible for the App, its content, maintenance, support, or warranties, or for any claims relating to it. If you downloaded the App from the Apple App Store:
- the license we grant you is limited to use of the App on Apple-branded devices you own or control, as permitted by the Apple Media Services Terms;
- DrayData, not Apple, is responsible for maintenance and support (contact info@draydata.com) and for any claims relating to the App, including product liability, legal or regulatory compliance, and intellectual property infringement claims;
- in the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any; Apple has no other warranty obligation for the App;
- you represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and are not on any U.S. Government list of prohibited or restricted parties; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, may enforce them against you.
13. Suspension and Termination
Your access to the App may be suspended or ended at any time if you violate these Terms, if your organization’s access ends, or if we need to do so to protect users, the service, or the law. You may stop using the App at any time by signing out and uninstalling it. To request deletion of your account or personal information, see the “Account and Data Deletion” section of the applicable Privacy Policy, or email info@draydata.com.
14. Availability and Changes to the App
We may update, change, suspend, or discontinue any part of the App at any time, and we may show you a notice when a new version is available. We do not promise that the App will always be available, error-free, or compatible with every device.
15. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MESSAGES, CALLS, NOTIFICATIONS, LOCATION, ROUTING, OR ETA INFORMATION WILL BE DELIVERED, ACCURATE, OR RECEIVED, OR THAT THE APP WILL BE UNINTERRUPTED OR SECURE. DRAYDATA DOES NOT MONITOR ALL CONTENT IN REAL TIME, BUT REVIEWS REPORTED CONTENT AS DESCRIBED IN SECTION 5, AND IS NOT RESPONSIBLE FOR CONTENT POSTED BY USERS.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DRAYDATA AND ITS AFFILIATES, SERVICE PROVIDERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
17. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the Effective Date above. If we make material changes, we may ask you to review and accept the updated Terms in the App before you continue. Your continued use of the App after updated Terms take effect means you accept them.
